Welcome to using the B2B products and services (hereinafter referred to as "Services") provided by Yudian Automobile (hereinafter referred to as "we" or "us"). These terms constitute a legal agreement between you (hereinafter referred to as "Client") and us regarding the use of the Services. Please read them carefully. By registering an account, signing a service contract, or actually using the Services, you acknowledge that you have read, understood, and agreed to all terms herein.

  1. Service Content and Scope

The specific Services we provide shall be subject to the service contract, order, or official website announcements signed by both parties, including but not limited to SaaS services for automotive parts supply chain management, customized system development for automotive enterprises, and data interface services for the automotive industry.

We reserve the right to adjust service functions based on technological advancements and market demands. However, significant adjustments will be notified to you 30 working days in advance to protect your reasonable usage rights.

  1. Client’s Rights and Obligations

Rights

Legally use the Services in accordance with these terms and the service contract;

Receive the promised technical support and after-sales service (subject to the Service Level Agreement);

Raise objections to service quality and request improvements (in accordance with the contractually agreed process).

Obligations

Provide true, accurate corporate information (e.g., registration details, authorized contact information) and update it promptly;

Properly safeguard account information (e.g., username, password, API keys) and be responsible for all operations conducted through the account;

Comply with laws, regulations, and these terms; not use the Services for illegal activities (e.g., transmitting malicious code, infringing third-party rights, evading regulations);

Respect our intellectual property rights; not copy, modify, reverse-engineer, or distribute service-related software, code, or documents without written authorization;

Pay service fees as agreed in the service contract. For overdue payments, we reserve the right to charge a daily penalty of 0.05%, and in severe cases, suspend or terminate the Services.

  1. Our Rights and Obligations

Rights

Provide Services in accordance with these terms and the service contract; take restrictive measures (e.g., warnings, service suspension) against unauthorized use of the Services;

Retain all intellectual property rights related to the Services (e.g., software copyrights, technical patents, trademarks);

Suspend the Services when necessary (e.g., for system maintenance or security upgrades), with 7 working days’ advance notice (except in emergency situations).

Obligations

Provide stable, secure Services as agreed in the service contract, ensuring service availability of 99.9% (subject to the Service Level Agreement);

Protect the security of Client information (see Privacy Policy);

Provide reasonable technical support (e.g., online customer service, fault response) and handle service failures as agreed in the contract.

  1. Intellectual Property

We own all intellectual property rights to the Services and related technologies (including but not limited to software, code, interface design, trademarks, and documents). Clients shall not use such rights without written authorization.

Clients retain ownership of intellectual property rights to business data uploaded or generated through the Services (e.g., transaction information, customer data), but grant us the right to use such data within the scope of service provision (e.g., storage, processing, backup).

  1. Disclaimer

We shall not be liable for service interruptions caused by force majeure (e.g., natural disasters, network outages, government actions), but will make reasonable efforts to minimize impact and notify you promptly;

We shall not be liable for losses caused by Client’s own reasons (e.g., account leakage, operational errors, device failures);

We reasonably guarantee the stability and suitability of the Services but do not warrant they are error-free, nor shall we be liable for indirect losses incurred by Clients from using the Services (e.g., loss of profits, business interruption).

  1. Termination of Services

Services will automatically terminate upon expiration of the service period if no renewal contract is signed by both parties;

If the Client materially breaches these terms or the service contract (e.g., overdue payment exceeding 30 days, illegal use of Services), we reserve the right to terminate the Services after written notice without refunding paid fees;

The Client may terminate the Services by giving 30 days’ written notice, with fee settlement in accordance with the contract.

After termination, we will handle Client information in accordance with the Privacy Policy and cease service provision, without affecting ongoing obligations such as confidentiality and intellectual property rights under these terms.

  1. Governing Law and Dispute Resolution

These terms shall be governed by the laws of the People’s Republic of China.

Disputes arising from these terms shall first be resolved through friendly negotiation. If negotiation fails, either party may file a lawsuit with the competent court in our location (Zhengzhou City).

  1. Miscellaneous

In case of inconsistency between these terms and service contracts, orders, or other documents, the specific agreements shall prevail; in the absence of specific agreements, these terms shall apply.

We reserve the right to update these terms due to legal or business needs. Updates will be notified via official website announcements/in-service notifications. Continued use of the Services constitutes acceptance of the updated terms.

Any modification or waiver of these terms shall be valid only with written confirmation from both parties.
